Terms of Service

“Gated,” “we,” and “us” mean Gated Labs, Inc., a Delaware corporation with offices in California. “You” means the person or organization entering into this agreement. If you’re entering into it on behalf of an organization, you’re confirming you have the authority to do so.

Gated provides (a) Probe, a hosted scanner for MCP servers and agent-facing APIs, and (b) consulting engagements delivered under separate statements of work. Together, these are the “Service.”

You may use Probe only against targets you own or have written authorization to test. The Authorization Policy, linked from our website, forms part of these Terms and is enforceable as such.

You’re responsible for what happens under your account, including keeping credentials secret. Notify us promptly if you believe an account has been compromised. We may suspend or terminate an account we reasonably believe has been used to scan a target without authorization.

Probe plans are billed monthly or annually in advance. Consulting engagements are billed on the schedule named in the applicable statement of work — typically 50% at kickoff and 50% on deliverable acceptance. All fees are in U.S. dollars and non-refundable except where expressly provided.

You agree not to:

• Scan any target you do not own or have written authorization to scan.
• Use Probe to conduct denial-of-service testing against any third party.
• Reverse-engineer the Service to build a competing product, or scrape our check catalog for commercial redistribution.
• Use the Service in a way that violates applicable law.

You own the data you submit to the Service. We process it on your behalf to provide the Service, as described in our Privacy Policy. You may delete your data from the product at any time; a full tenant purge is irreversible.

The Service, including Probe’s check catalog, scanner runtime, and all associated materials, is owned by Gated. You receive a non-exclusive, non-transferable license to use it during your subscription term. You may share the Probe reports you generate internally and with auditors, but may not resell them or redistribute them publicly without our written consent.

Unless the statement of work says otherwise, deliverables from a consulting engagement are licensed to you, perpetually and royalty-free, for internal use. Code we write into your repository is yours outright. We retain ownership of reusable components we bring in from prior work.

Each party agrees to protect the other’s confidential information with the same care it uses for its own, and at a minimum with reasonable care. We’ll sign a mutual NDA on request; our standard form is available in plain English and can be counter-signed in a minute.

We provide the Service with reasonable skill and care. We do not warrant that Probe will detect every vulnerability in every target — no scanner does, and anyone who promises otherwise is selling a different kind of product. Beyond the express warranties above, the Service is provided “as is.”

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, or punitive damages. Our total aggregate liability arising from these Terms will not exceed the greater of the fees you paid in the 12 months before the event giving rise to the claim, or one thousand U.S. dollars. Nothing in this section limits liability for gross negligence, willful misconduct, or indemnification obligations.

You will defend and indemnify us against claims arising from (a) a scan you initiated against a target you did not have authorization to test, or (b) your violation of these Terms. We will defend and indemnify you against third-party claims that the Service, used in accordance with these Terms, infringes intellectual property rights.

You may cancel your Probe subscription at any time from the app. Either party may terminate for a material breach that is not cured within 30 days of written notice. On termination, your access ends, and we purge your data on the retention schedule described in the Privacy Policy.

These Terms are governed by the laws of the State of California, without regard to conflict of laws. The exclusive venue for disputes is the state and federal courts located in San Francisco, California.

We may update these Terms. Material changes will be notified via email to the account owner at least 30 days before they take effect. Your continued use after that date constitutes acceptance of the updated Terms.
